MADE CLEAN PROS LLC
Independent Cleaning Provider Agreement
A complete proposed agreement for disclosed, voluntarily accepted cleaning work and fair compensation.
Version 0.3 · Revised
Document ID: mcp-provider-agreement-2026-10-24-v0.3
Not attorney-approved and not for customer or provider acceptance. Publication does not activate fees, contracts, recurring obligations, real service, payment or provider approval. Proposed commercial clauses need owner and qualified professional review before operative use.
1. Parties Work Orders and actual role
The future execution copy identifies Made Clean Pros LLC and the provider’s exact legal business name, form, authorized representative and secure notice details. Those party particulars come from the verified onboarding record, not an invented name in this public review copy. Company markets cleaning, quotes customers, offers fixed payouts, coordinates booking/matching/payment, and manages support and recovery. Provider performs agreed cleaning through the intended independent business; Company is not merely a passive lead seller.
Each accepted Work Order identifies version, permitted attendees, accepted scope/exclusions, local time/window, travel context and fixed payout. Necessary exact address/access is restricted to authorized accepted work; pre-acceptance location is approximate and travel information is a planning estimate. A customer request is not a confirmed job or provider acceptance. This public review version creates no work commitment, employment determination or provider activation.
2. Actual independence and legal classification
Provider may work for others, advertise independently, choose availability and decline unaccepted offers without a decline fee. There are no guaranteed jobs, earnings, mandatory shifts or exclusivity. Provider controls lawful methods, sequence, tools and business organization subject to the accepted result, property restrictions, safety and applicable law. Routine supervision of cleaning methods is not reserved by this proposed agreement.
These practices must be true, and actual control, economic dependence and the relevant legal tests govern. A contractor label, W-9, signature, insurance certificate or optional statutory declaration does not establish tax, wage, workers’ compensation or agency classification. Counsel must assess the Company’s actual pricing, scheduling, checklists, screening, suspension and repeat-work controls. If lawful independent operation cannot be maintained, correct practices or use the legally required employment arrangement before further work.
3. Voluntary offers accepted scope and changes
Review actual scope, approximate travel context, timing, conditions and disclosed fixed payout before acceptance. Acceptance commits only to that versioned Work Order, subject to separately required readiness and release. Material changes to scope, schedule, attendee or payout require a new recorded proposal and provider agreement; accepted payout is not silently reduced by an optimizer, customer discount or refund.
Report inability to attend promptly. For unsafe, unlawful or materially different conditions, pause affected work and contact Company rather than improvise excluded tasks, misstate completion or charge the customer directly. Company coordinates customer approval and safe disposition. The proposed cancellation/access policy applies only when its approved exact version is incorporated; a decline before acceptance has no penalty.
4. Compensation earning and payment
Concrete recommendation — not an approved or activated commercial policy
Recommended launch clause for owner/counsel review: the accepted fixed payout is earned on documented performance of the accepted scope, including agreed exceptions or other expressly agreed earning events. Company reviews completion promptly and pays undisputed earned amounts weekly by Friday for work completed through the preceding Sunday, using the separately authorized secure payout method. If a bank holiday prevents processing, initiate on the next business day. Show earned, under-review, due, initiated and paid states separately; bank arrival is distinct from initiation.
A genuine disputed portion receives written reasons, supporting facts and a chance to respond; pay the undisputed amount on schedule and target a reasoned disputed-portion decision within five business days after receiving necessary information. Company owes earned compensation independently of customer silence, capture, a waived fee, refund, insurer response or chargeback. No pay-if-paid condition, automatic complaint deduction, free re-clean, unilateral damage setoff or deduction from unrelated work is created. Any lawful adjustment needs a supported separate agreement or lawful determination, not a complaint alone. Any shorter mandatory payment deadline and legally required wage obligation controls; a fixed payout cannot override minimum-wage or overtime duties if the actual relationship is employment. Exact payout method, cost allocation and these proposed clocks require approval before operative acceptance.
5. Cancellation readiness and return work
Concrete recommendation — not an approved or activated commercial policy
Company must verify sufficient valid current-terms funding before departure/dispatch/start under Model B. An accepted offer, saved card, pending attempt or customer silence is not authorization to travel or start. Payment-readiness delay or Company cancellation is not automatically provider fault. Existing accepted obligations remain recorded until appropriately released, replaced or rescheduled.
Recommended customer/Company-caused cancellation after authorized travel or verified no access: the greater of $25 or 25% of the fixed payout, capped at that payout; Company pays regardless of customer-fee recovery. Safe extended waits or return visits require separate agreed scope and compensation. Before travel, release promptly without an automatic provider penalty; any agreed reservation compensation controls. Provider-caused failure requires fair evidence and response, with no automatic forfeiture of other earned pay. These are proposed terms aligned with the cancellation policy, not an activated compensation schedule.
6. Equipment personnel taxes and safe performance
Provider supplies and maintains suitable materials, tools, protective equipment, transport and legally required registrations at its expense except a property-specific accepted customer product. Follow labels, protect finishes, do not mix incompatible chemicals, and stay within lawful insured scope. No excluded biohazard treatment, heavy moving, specialist restoration or regulated repair is implied.
Disclose every proposed attendee and obtain the required identity, customer-permission, insurance and readiness clearance before entry. No undisclosed helper, substitution or onward subcontracting is permitted; current development readiness does not authorize real teams. Provider selects/directs/pays its lawful personnel and handles required business tax/payroll duties, subject to duties law places on Company. Maintain workers’ compensation for covered persons; any exemption/election requires validation for the exact entity/worker. No non-waivable benefit is surrendered by this agreement. Tax/bank information belongs only in a separately approved secure process, not customer messages.
7. Proposed insurance requirements
Concrete recommendation — not an approved or activated commercial policy
Recommended starting provider CGL benchmark is $1 million each occurrence/$2 million aggregate for actual residential-cleaning operations and authorized personnel, subject to licensed broker and counsel approval; these are not asserted Arizona legal minima or evidence of existing coverage. Broker review must address customer property being worked on, care/custody/control, chemicals/water, keys, employee/subcontractor acts, theft/dishonesty, residential exclusions and contractual liability. Any necessary endorsement or separate policy must be identified and approved; CGL is not presumed to cover every exposure.
Require appropriate legally mandated auto/business-use and workers’ compensation coverage. Where available and appropriate, obtain actual additional-insured and primary/noncontributory endorsements for Company with correct operations/dates and completed-operations scope. Any waiver of subrogation needs legal/carrier approval. Company separately obtains its own appropriate coverage and assesses hired/non-owned auto, classification and umbrella risks; provider insurance does not substitute for Company duties.
8. Insurance evidence renewal and accepted commitments
Supply accurate insured identity, carrier, effective/expiration dates, relevant declarations/forms and endorsements through restricted storage. Company verifies with a trusted licensed broker/carrier and records evidence, scope, reviewer and dates. A certificate upload alone neither verifies coverage nor amends a policy. Company must confirm required coverage across the whole planned visit, not merely on today’s date.
Notify Company promptly when learning of cancellation, nonrenewal, exhaustion or material changes, and provide renewal evidence before expiry. Insurer notice rights exist only as actual policy/endorsement and law provide. Missing/expired/unsuitable coverage blocks new work and acceptance. Accepted commitments remain for named human review, verified replacement or lawful rescheduling/cancellation; do not silently delete them or continue uninsured. Fresh evidence and authorized review are required for restoration. Publication does not certify the current software meets every future-visit coverage requirement.
9. Quality privacy access and incidents
Perform and accurately document the accepted result and material exceptions. Cooperate with reasonable walkthroughs and fair investigations without pressuring a customer to approve, withdraw a concern or publish praise. Company remains the support/claims contact. A complaint is not an admission or permission to work without compensation.
Use customer identity, keys, codes, location and instructions only for authorized work and share minimally with cleared attendees. Do not copy for personal marketing, social posts, unauthorized recording or AI upload. Secure devices/access material, return or revoke access when no longer authorized, and report loss or misuse promptly. Necessary lawful incident photos must exclude unrelated personal content and use restricted evidence channels.
Protect people first; seek emergency help where needed. Promptly notify Company and the relevant insurer of injury, damage, theft allegations or threatened claims, preserve original facts and distinguish observation from allegation. Do not conceal evidence, admit on Company’s behalf or promise settlement. Cooperate subject to privilege and lawful confidentiality. Customer reporting targets do not postpone prompt insurer notice. A settlement cannot bind another party to an admission, payment or nonmonetary obligation without necessary written consent.
10. Proposed fault-linked indemnity and defense
Concrete recommendation — not an approved or activated commercial policy
To the extent legally enforceable, Provider will indemnify Company and its officers/employees for third-party damages and reasonable allocated defense costs to the extent caused by Provider’s or its authorized personnel’s negligence, willful misconduct or material breach in performing work. This does not transfer Company’s own negligence, misconduct, unrelated operations or non-waivable duties, and does not waive protected worker/customer rights.
Recommended defense mechanism: on a supported written tender, promptly notify the insurer and cooperate in appointment of qualified counsel under the policy. If a reasonable conflict exists, agree separate counsel as law/policy requires. Allocate or advance reasonable defense costs only to the supported provider-attributable share, subject to later fair true-up by agreement or lawful adjudication; merely naming Company in a complaint does not trigger unlimited provider-funded defense. No settlement imposing another party’s admission, nonmonetary obligation or uncovered cost proceeds without that party’s written consent. The insurer is bound by its policy, not this contract; limits do not automatically cap liability and no unilateral payout deduction enforces indemnity. Counsel/broker must approve applicability and mechanism before use.
11. Term suspension disputes and exact acceptance
The agreement begins only at separately authorized affirmative execution of an approved exact version and continues until prospectively ended by notice. Either party may stop new offers/acceptances. Immediate safety, security or qualification risks may suspend new work, with reasons/review where lawful. Accepted Work Orders, earned payment, customer-facing disposition and necessary records access continue until lawfully resolved; termination is not erasure.
Recommended dispute position is voluntary informal resolution plus courts with lawful jurisdiction/venue under Arizona law, subject to mandatory federal/other protections. No mandatory arbitration, class/jury waiver, noncompete, numeric liability cap or one-sided collection fee is included. Preserve non-waivable rights. Retainable execution records must identify both parties, authority, document ID/version/hash, Work Order, affirmative assent/time and delivery. Material future changes require fresh agreement for affected work; this public v0.3 is not an acceptance flow.
